* License Key

You need the license key to run the evaluation copy. The license key will be e-mailed to you at the address you will register in the next page.

The license for the evaluation copy is the standalone license by default.

* Evaluation Period

The evaluation copy will expire 2 weeks after the registration.

*Version

The current version of the evaluation copy is 1.201. (You can verify the version number by selecting the "About ASTEC Eyes on the net..." of "Help" menu).

*Remote Module

The evaluation copy you can download is the basic package for the standalone license. Please mail to info@asteceyes.com if you want to evaluate the remote module in addition.

* Comments

* Supported OS

Evaluation copy (version 1.2) supports the following operating systems;

Version 1.2 runs on PC/AT compatible PC's.

ASTEC Eyes on the net Software License Agreement (Evaluation Edition)

This is a legal agreement (the "AGREEMENT") between you (either an individual or an entity) and Rworks, Inc. ("Rworks") for the evaluation version of the computer software product known as ASTEC Eyes on the net ("ASTEC Eyes"), which includes computer software and other information, recorded on the media, printed materials, and/or downloaded from ASTEC's website (collectively the "SOFTWARE").

READ THESE TERMS AND CONDITIONS CAREFULLY AND COMPLETE THE EVALUATION PRODUCT REGISTRATION FORM BEFORE DOWNLOADING, INSTALLING OR USING THE SOFTWARE. BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE OR REGISTERING YOUR NAME AS USER OF THE SOFTWARE (WHICHEVER OCCURS FIRST), YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MUST NOT DOWNLOAD THE SOFTWARE. HOWEVER, YOU MAY AT ANY TIME TERMINATE THIS EVALUATION LICENSE BY DESTROYING THE SOFTWARE.

1. GRANT OF LICENSE
ASTEC grants you a non-exclusive and non-transferable license to install and use one copy, or the authorized number of copies, of the SOFTWARE on the particular computer(s), free of charge, solely for testing and evaluation purposes, only during the evaluation period as determined by ASTEC for the SOFTWARE. You may neither use the SOFTWARE continuously nor use the SOFTWARE for any production purposes. You must destroy all copies of the SOFTWARE after the expiration of the evaluation period and must not keep any copy and/or any portion of the SOFTWARE.

You may install and use one copy, or the authorized number of copies, of the SOFTWARE on the particular computer(s) that ASTEC specifies for the SOFTWARE (the "COMPUTER SYSTEM(S)") and that are directly or indirectly connected with the network administered by you (the "NETWORK") for evaluation purposes, provided that the total respective numbers of the GUIs and the capture modules of the SOFTWARE shall not exceed the respective numbers as authorized in the license information sheet issued by Rworks. You may allow the permitted number of uses of the SOFTWARE on the COMPUTER SYSTEMS directly or indirectly connected with such NETWORK, but you shall be responsible for all of such end users' compliance with this AGREEMENT. You shall be liable for any action or inaction of such end users as if you were responsible for such action or inaction.

You may print one copy of any documents included in the SOFTWARE for evaluation purposes. You may not print any documents for any purposes other than evaluation.

2. REGISTRATION
You must send by e-mail or through the web site of ASTEC the evaluation product registration form to ASTEC before downloading or using the SOFTWARE. You may not use the SOFTWARE, without sending the registration form to Rworks.

3. RESTRICTIONS
You may not transfer, distribute, redistribute, sublicense, rent, lease or time share the SOFTWARE to and/or with others. You may not copy or modify the SOFTWARE or create derivative works (including any secondary copyright works) based upon the SOFTWARE. You may not translate, reverse engineer, disassemble, decompile or decode the SOFTWARE. You may not develop password(s) or attempt to defeat the license key(s) or determine how the license key(s) is(are) developed.

Any reproduction, distribution or redistribution of the SOFTWARE is expressly prohibited. You may not copy the SOFTWARE to any network server outside of the NETWORK for further reproduction, distribution or redistribution.

4. COPYRIGHTS
1) You acknowledge that the SOFTWARE is proprietary, confidential and protected by copyright, patent and/or trade secret laws. You agree that you neither own nor hereby acquire any claim or right of ownership to the SOFTWARE or to any related patents, copyrights, trademarks or other intellectual property.
2) During the period of using or after releasing the SOFTWARE, you may not reveal the SOFTWARE and/or associated proprietary information to any third parties without the prior written consent of Rworks.

5. TERMINATION
1) You may terminate this evaluation license of the SOFTWARE at any time by completely destroying the SOFTWARE.
2) This evaluation license shall automatically terminate upon the expiration of the evaluation period or upon ASTEC's request. Upon such termination of this evaluation license, you must destroy the SOFTWARE.
3) The provisions of Sections 2, 3, 4, 6, 7 and 8 of this AGREEMENT shall survive any termination of the evaluation license and/or this AGREEMENT for any reason.

6. NO WARRANTY
1) THE SOFTWARE IS PROVIDED "AS IS", AND ASTEC DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
2) ASTEC DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ALL IMPLIED OR EXPRESS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS, WITH RESPECT TO THE SOFTWARE. INCLUDING, WITHOUT LIMITATION, ANY LOSS OF DATA, OR LOSS OF PROFITS, ARISING OUT OF THE USE OF, OR INABILITY TO USE THE SOFTWARE EVEN IF ASTEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.
3) IN NO EVENT SHALL ASTEC BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, OR INCIDENTAL DAMAGES CAUSED BY THE USE OF THE SOFTWARE.
4) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED CONDITIONS, WARRANTIES OR DAMAGES, SO SOME OR ALL OF THE FOREGOING MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THIS LICENSE SHALL BE READ TO INCORPORATE THE MAXIMUM EXCLUSIONS OR LIMITATIONS ALLOWED UNDER APPLICABLE LAW. ANY REDUCTION IN THE SCOPE OF SUCH EXCLUSIONS OR LIMITATIONS SHALL NOT AFFECT THE ENFORCEABILITY OF THE REMAINING PORTIONS OF THIS LICENSE.

7. EXPORT CONTROLS
You acknowledge that all the SOFTWARE and accompanying technical information are subject to applicable export control laws and regulations of JAPAN and may be subject to export or import regulations in other countries. You hereby assure that you will, at your expense, comply with all applicable laws, regulations and executive orders, including Japan, United States and other country versions of the same on export or re-export of the SOFTWARE.

8. U.S. GOVERNMENT RESTRICTED RIGHTS
The SOFTWARE is a "Commercial Item", as that term is defined in 48 C.F.R. 2.101 (October 1995), consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are defined in 48 C.F.R 12.212 (September 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government end users acquire the SOFTWARE with only those rights set forth herein.

9. GENERAL
This AGREEMENT shall be governed by and interpreted under the laws of Japan without regard to the United Nations Convention on Contracts for the International Sale of Goods. The Tokyo District Court shall have exclusive jurisdiction over all disputes which may arise with respect to the execution, interpretation and performance of this AGREEMENT. This AGREEMENT is prepared in English only and, even if this AGREEMENT is translated into any other language, only the English version shall apply.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
